Client Terms and Conditions

1. Definitions

"Company" means Urban Studio London Ltd.

"Client" means the person, business, or organisation booking or receiving services from the Company.

"Services" means photography, studio hire, content creation, image editing, retouching, printing, digital delivery, and related services provided by the Company.

2. Bookings

2.1 All bookings are subject to availability and confirmation by the Company.

2.2 A booking is not confirmed until any required deposit has been received.

2.3 The Client is responsible for ensuring all booking details are accurate.

3. Fees and Payment

3.1 Fees are as specified in the quotation, invoice, booking confirmation, or service agreement.

3.2 Booking Deposit

A non-refundable booking deposit of £50.00 is required to secure all bookings. No booking shall be considered confirmed until the deposit has been received by Urban Studio London Ltd. The deposit will be deducted from the total amount payable for the Services.

3.3 The balance is due before delivery of final images unless otherwise agreed in writing.

3.4 Late payments may incur interest pursuant to the UK Late Payment of Commercial Debts legislation.

3.5 The Company reserves the right to withhold delivery of images or other deliverables until payment is received in full.

4. Cancellation and Rescheduling

4.1 Cancellations made more than 14 days before the booking date may reschedule once, subject to availability. The £50 booking deposit will be transferred to the new booking date.

4.2 If the Client cancels the booking, the £50 booking deposit is non-refundable.

4.3 Cancellations within 48 hours of the booking date may be charged up to 100% of the agreed booking fee.

5. Studio Hire

5.1 Clients are responsible for all persons attending under their booking.

5.2 Clients must follow all health and safety instructions while on the premises.

5.3 Any damage caused to studio equipment, furnishings, fixtures, or property by the Client or attendees may be charged to the Client.

5.4 The Client must leave the studio in a reasonable condition at the end of the booking period.

6. Photography Services

6.1 The Company will use reasonable skill and care in providing photographic services.

6.2 Artistic style, composition, lighting, and editing decisions remain at the Company's professional discretion.

6.3 The Company does not guarantee any specific number of images unless expressly agreed in writing.

6.4 Image selection for final delivery shall be determined by the Company unless otherwise agreed.

7. Image Delivery

7.1 Estimated delivery times are provided as guidance only.

7.2 Final edited images will be delivered electronically unless otherwise agreed.

7.3 The Client is responsible for downloading and backing up all delivered files.

7.4 The Company recommends that Clients maintain their own backup copies upon receipt.

8. Copyright and Usage Rights

8.1 Copyright in all photographs and creative works remains the property of Urban Studio London Ltd in accordance with the Copyright, Designs and Patents Act 1988.

8.2 Upon full payment, the Client is granted a non-exclusive licence to use the delivered images for the purposes agreed at the time of booking.

8.3 Images may not be sold, sublicensed, altered, or used for commercial advertising beyond the agreed licence without written permission.

8.4 Commercial clients may receive extended usage rights where specified in a written agreement.

9. Portfolio and Marketing Use

9.1 Unless agreed otherwise in writing before the shoot, the Company may use photographs for:

  • Portfolio display

  • Website content

  • Social media

  • Advertising and marketing materials

  • Industry competitions and publications

9.2 Where confidentiality is required, the Client must notify the Company in writing before the shoot.

10. Client Content and Permissions

10.1 The Client warrants that they have all necessary permissions, licences, and consents relating to any products, locations, individuals, trademarks, or materials involved in the shoot.

10.2 The Client shall indemnify the Company against claims arising from unauthorised use of such materials.

11. Limitation of Liability

11.1 The Company's liability for any claim shall not exceed the amount paid by the Client for the Services.

11.2 The Company shall not be liable for indirect, consequential, or economic loss, including loss of profits, business opportunity, or reputation.

11.3 In the unlikely event of image loss due to equipment failure, theft, corruption, or circumstances beyond reasonable control, liability shall be limited to a refund of fees paid.

12. Force Majeure

The Company shall not be liable for delays or failure to perform caused by circumstances beyond its reasonable control, including but not limited to acts of God, severe weather, government restrictions, utility failures, strikes, or public emergencies.

13. Data Protection

13.1 Personal data will be processed in accordance with applicable UK data protection legislation, including the UK GDPR and Data Protection Act 2018.

13.2 Client information will not be shared with third parties except where necessary to provide the Services or as required by law.

14. Complaints

Any concerns regarding the Services must be notified in writing within 14 days of delivery of the images or completion of the Services.

15. Governing Law

These Terms and Conditions shall be governed by the laws of England and Wales.

Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
